1. Scope of Application

​

These General Terms and Conditions apply to all consulting services provided by Marvin Wehmeier Consulting, including but not limited to strategy consulting, project management, process optimization, and change management.
Any deviations from these terms must be agreed upon in writing.

2. Services

​

I provide consulting services based on the scope defined in the individual agreement, proposal, or project description.
The services are delivered with due professional care and in accordance with industry standards. There is no guarantee for specific outcomes, unless expressly agreed.

3. Cooperation Obligations of the Client

​

The client shall provide all necessary information, documents, and access required to perform the services.
Delays caused by incomplete or late information are not the responsibility of the consultant.

4. Offers and Contract Conclusion

​

All offers are non-binding unless explicitly stated otherwise.
A contract is concluded once the client confirms the offer in writing (email is sufficient) or services begin.

5. Fees and Payment Terms

​

Fees are based on the agreed daily rate, hourly rate, or fixed project price.
Invoices are due within 14 days without deduction, unless agreed otherwise. In case of late payment, statutory interest may be charged.

6. Cancellation and Rescheduling

​

Appointments can be cancelled or rescheduled up to 24 hours in advance at no cost. For cancellations with less notice, up to 50% of the agreed fee may be charged. For project cancellations after the start of the engagement, services already rendered will be invoiced.

7. Confidentiality

​

Both parties agree to keep all confidential information strictly confidential. This includes business strategies, documents, personal data, and project-related information. Confidentiality remains in effect even after the end of the business relationship.

8. Intellectual Property

​

All materials, documents, concepts, and analyses created during the project remain the intellectual property of Marvin Wehmeier Consulting, unless otherwise agreed.
The client receives a non-exclusive right of use for internal purposes.

9. Liability

Liability is limited to cases of gross negligence or intentional misconduct. I am not liable for indirect damages, lost profits, or damages resulting from decisions made by the client based on provided recommendations.

10. Data Protection

​

Personal data is processed solely in accordance with applicable data protection legislation, including the EU GDPR. Further details are available in the Privacy Policy.

11. Applicable Law and Jurisdiction

​

These Terms and Conditions are governed by Spanish law.
The place of jurisdiction is Palma de Mallorca, unless legally required otherwise.

12. Final Provisions

​

Should any provision of these Terms and Conditions be invalid, the remaining provisions shall remain in effect.
Changes or additions must be made in writing.
